Uniserve Announces 3:1 Share Consolidation of its Common Shares

Vancouver, BC: October 8, 2024 Uniserve Communications Corporation (the “Company” or “Uniserve”) (TSXV: USS)
a provider of IT solutions and services to business and residential customers in Canada wishes to announce that it will be
proceeding with a share consolidation of its issued and outstanding common shares on a three (3) old for one (1) new
basis, to provide the Company with increased flexibility to seek additional financial opportunities and strategic
acquisitions.

The share consolidation was approved at the Company’s December 14, 2023 Annual General Meeting, and was disclosed
in its December 19, 2023 Press Release. The share consolidation will be effective on or before the opening of the market
on Thursday, October 31, 2024, wherein the total 80,523,971 issued and outstanding shares of Uniserve will become
26,841,323 with adjustment due to fractional rounding, on a postconsolidated basis, subject to TSX Venture Exchange
approval. The share consolidation will not change a shareholder’s proportionate interest in the Company or result in a
change of the Company’s name.

The Company further wishes to announce the appointment of Mr. Kwin Grauer as the Chairman of the Company’s Board.
